RefX Terms and Conditions

1. Introduction

Welcome to RefX (“RefX,” “we,” “our,” or “us”). RefX provides a referral management platform that enables individuals (“Users”) to send, track, and manage referrals to participating organizations (“Customers”). By accessing or using the RefX website, app, or platform (collectively, the “Service”), you agree to be bound by these Terms and Conditions (“Terms”). Please read them carefully before using the Service. If you do not agree, you must not use RefX.

2. Eligibility and Account Responsibilities

  • You must be at least 18 years old to create a RefX account.
  • You agree to provide accurate, current, and complete information during registration.
  • You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account.
  • You agree to comply with all applicable laws and regulations in your use of the Service.

3. Referral System and Rewards

  • Users may send referrals to participating organization through personalized links, QR codes, or other tools provided by RefX.
  • Each Customer determines its own reward structure, eligibility criteria, and approval process.
  • RefX is not responsible for the value, availability, or timing of rewards issued by Customers.
  • RefX does not guarantee that every referral will be accepted or rewarded. Some organizations may not offer rewards (e.g. for ethical, legal, or religious reasons).
  • Customers may modify or discontinue their referral programs at their discretion.

4. Tier System and Points

  • RefX uses a tiered points system to recognize user performance and engagement.
  • Tier progression is based on closed or verified referrals, not merely sent invitations.
  • Points may be redeemed for non-cash rewards (such as gift cards, donations, or experiences) through approved third-party providers.
  • Points have no cash value and may expire or change at RefX’s discretion.

5. Third-Party Reward Fulfillment

  • RefX partners with reward platforms such as Tango, Tremendous, or others to deliver non-cash rewards.
  • When redeeming a reward, you agree to the terms and policies of the third-party provider.
  • RefX is not responsible for issues related to third-party systems, including expired gift cards, unavailable items, or technical errors.

6. Sweepstakes and Giveaways

  • RefX may offer promotional sweepstakes or giveaways from time to time.
  • Each promotion will include its own specific rules, eligibility requirements, and prize details.
  • Entry or participation does not guarantee a win, and odds will vary based on participation.
  • RefX reserves the right to cancel or modify promotions at any time.

7. Prohibited Conduct

You agree not to:

  • Use automated systems (bots, scripts, or similar) to send referrals or collect data.
  • Misrepresent your relationship with a referred party or Customer.
  • Attempt to manipulate, exploit, or abuse the referral or reward systems.
  • Send spam, unsolicited messages, or harassing communications.
  • Use RefX for unlawful purposes or to violate the rights of others.

8. Prohibited Uses and Competitive Restrictions

8.1. No Copying or Reverse Engineering

You agree not to copy, reproduce, modify, distribute, display, perform, or create derivative works based on the RefX platform, its software, or any related materials. You may not decompile, disassemble, reverse-engineer, or otherwise attempt to derive the source code, structure, or underlying ideas of the Service. Any attempt to access or analyze the platform for unauthorized purposes is strictly prohibited.

8.2. No Competitive Use

You agree not to use the RefX platform—or any information, data, or insights obtained through it—to create, develop, operate, or assist in the development of any product or service that competes, directly or indirectly, with RefX. This includes using RefX to collect information, study system functionality, evaluate its business model, or otherwise replicate its design or behavior for competitive purposes.

8.3. Intellectual Property Ownership

All intellectual property rights in and to RefX, including its software, systems, designs, interfaces, and content, are owned exclusively by RefX, LLC. Nothing in these Terms grants you any rights or licenses except those expressly stated. Any unauthorized use or reproduction of RefX intellectual property is a violation of these Terms and may result in immediate termination of access and legal action.

8.4. Confidentiality

You agree not to disclose, share, publish, or make available any non-public information about the RefX platform, including its design, workflows, algorithms, or business processes, without prior written consent from RefX. This obligation continues even after your use of the Service ends.

8.5. Third-Party Restrictions

You further agree that you will not authorize, enable, or assist any third party to engage in conduct that would violate this Section, including but not limited to accessing or using RefX for the purpose of competitive analysis or product development.

9. Termination and Suspension

  • RefX may suspend or terminate your access if you violate these Terms or misuse the platform.
  • We may also restrict your use if we suspect fraud, abuse, or misuse of the referral system.
  • You may delete your account at any time through your account settings.
  • Termination does not relieve you of any obligations or liabilities accrued prior to termination.

10. Privacy

Your privacy is important to us. Please refer to our Privacy Policy for information on how we collect, use, and protect your personal data.

11. Modifications

We may update these Terms periodically. When we do, we will post the updated version with a new effective date. Continued use of RefX after updates means you accept the revised Terms.

12. Disclaimers and Limitation of Liability

  • The Service is provided “as is” and “as available” without warranties of any kind.
  • To the fullest extent permitted by law, RefX shall not be liable for indirect, incidental, consequential, or punitive damages arising from your use of the platform.
  • Some jurisdictions do not allow certain limitations, so these provisions may not apply to you in full.

13. Governing Law

These Terms and any disputes arising from your use of RefX shall be governed by and construed in accordance with the laws of the State of Texas, without regard to conflict of law principles.
